Terms of Service

1. Agreement

These Terms of Service form an agreement between you and Zion Noah Enterprises LLC ("we", "us"), 200 Broadhollow Rd Suite 207, Melville NY 11747, which operates the Centraly platform. By creating an account or using Centraly you accept these terms.

2. Accounts

You must provide accurate registration information, keep your credentials confidential, and are responsible for activity under your account. Landlord, tenant and platform administrator accounts have different levels of access; you may only use the access granted to you.

3. Subscriptions, trials and billing

Paid plans renew automatically for the billing interval shown at checkout until cancelled. Free trials convert to a paid subscription at the end of the trial unless cancelled first. Fees are non-refundable except where required by law. We may change pricing on notice, effective at your next renewal.

4. Your content

You keep ownership of the property, tenant and financial records you enter. You grant us a limited license to host, process and display that content to operate the service. You are responsible for having the rights and consents needed for any personal information you upload, including applicant and tenant data.

5. Not legal, tax or financial advice

Centraly provides software tools, including AI-assisted drafts of leases, notices and summaries. These are informational only and are not legal, tax or financial advice, and no attorney-client relationship is created. Landlord–tenant law varies by state and locality. Have a licensed attorney review any document before you rely on it.

6. Tenant screening and fair housing

Screening is performed by a consumer reporting agency and is subject to the Fair Credit Reporting Act. You agree to obtain applicant authorization, to use reports only for permitted housing purposes, and to deliver adverse action notices when required.

You agree to comply with the federal Fair Housing Act and all applicable state and local fair housing laws, and to apply screening criteria consistently to every applicant.

7. Electronic signatures

Documents may be signed electronically through our e-signature provider. Parties must consent to electronic records and signatures before signing, may request a paper copy at no charge, and may withdraw consent before signing.

8. Acceptable use

Do not misuse the service: no unlawful, harassing or discriminatory use, no attempts to breach security or access other customers' data, no automated scraping beyond documented limits, and no reverse engineering. We may suspend accounts that create risk to the platform or other users.

9. Availability and disclaimers

The service is provided on an "as is" and "as available" basis without warranties of any kind to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the service will not exceed the fees you paid in the twelve months before the event giving rise to the claim, and we will not be liable for indirect, incidental, special or consequential damages.

11. Termination

You may cancel at any time from your account settings. We may suspend or terminate access for breach of these terms or non-payment. On termination you may export your data for a reasonable period before deletion.

12. Governing law and venue

These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Suffolk County, New York, and both parties consent to that jurisdiction.
